1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Arch Grid LLC ("Arch Grid," "we," "us," or "our"), governing your access to and use of the Arch Grid construction-management platform, including our website, applications, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you accept these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
2. The Service
Arch Grid is a multi-tenant, cloud-based platform that helps architecture, engineering, and construction teams manage project records — including versioned drawings, submittals, requests for information (RFIs), and site issues — and collaborate across firms on shared projects. The specific modules available to you may change over time as we add, modify, or retire features; we will use reasonable efforts to maintain the core functionality you rely on but do not guarantee that any given feature will remain available indefinitely.
3. Accounts & Organizations
To use the Service you must create an account and, in most cases, a workspace ("Organization") representing your firm. You are responsible for:
- providing accurate registration information and keeping it up to date;
- maintaining the confidentiality of your login credentials and API keys, if any;
- all activity that occurs under your account, whether or not authorized by you; and
- promptly notifying us of any unauthorized access or security incident involving your account.
Each Organization designates one or more owners responsible for managing its own membership, billing, and settings. We are not responsible for internal disputes between members of the same Organization over access, ownership, or control of an account.
4. Free Trial & Billing
New Organizations receive a 7-day free trial with full access to the Service and no payment method required to start. After the trial period, continued use of hosted projects requires an active paid subscription.
How billing works. Arch Grid is priced per actively hosted project: an Organization pays only for the projects it hosts, on a graduated monthly per-seat schedule (with a volume discount at higher seat counts, as shown at checkout). Organizations that participate in another firm's project as a guest are not charged for that participation — only the hosting firm pays. Pricing in effect at the time of your purchase is displayed at checkout and may change prospectively with notice; changes do not apply retroactively to an already-paid billing period.
Payment processing. Payments are processed by our payment partner, Polar, acting as merchant of record. By subscribing, you also agree to Polar's applicable terms and privacy policy for payment processing. We do not store your full payment card details.
What happens when the trial ends. If your Organization does not have an active subscription when the trial period ends, we will block creation of new hosted projects and lock access to your Organization's own hosted projects until a subscription is added. This does not lock you out of your account entirely — your dashboard, settings, and any projects you participate in as a guest of another Organization remain accessible.
Taxes. Fees are exclusive of applicable taxes, which Polar may collect where required by law. Refunds & cancellation. You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing period, and fees already paid are non-refundable except where required by law or expressly stated otherwise.
5. Cross-Organization Collaboration
The Service allows Organizations to invite other firms into shared projects using rotatable, owner-controlled connection codes. Sharing a connection code is treated as consent to that firm joining the relevant project. Each participating firm manages only its own roster within a shared project; no firm can add, remove, or modify another firm's members. Removing a firm from a project is an owner-only, irreversible action. Content created within a project (drawings, submittals, comments, and similar records) remains associated with its authoring firm and is not deleted when another firm is removed from the project.
You are responsible for the accuracy of the connection codes you share and for reviewing which firms have access to your projects. Arch Grid is not responsible for a firm's decision to share a connection code with an unintended recipient.
6. Your Content
"Customer Content" means the drawings, files, submittals, RFIs, issue records, comments, and other data you or your Organization upload to or generate within the Service. As between you and Arch Grid, you retain all ownership rights in Customer Content. You grant Arch Grid a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and display Customer Content solely as necessary to provide, maintain, and support the Service (including to the other Organizations you choose to share a project with).
You represent that you have all rights necessary to upload Customer Content and grant this license, and that Customer Content does not infringe or misappropriate any third party's rights or violate applicable law.

8. Acceptable Use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. We may suspend or terminate access for violations as described there.
9. Intellectual Property
Arch Grid and its licensors own all right, title, and interest in the Service, including its software, design, trademarks, and documentation, excluding Customer Content. Nothing in these Terms grants you any rights to our trademarks or branding except as necessary to use the Service as permitted. Feedback you voluntarily provide about the Service may be used by us without restriction or obligation to you.
10. Third-Party Services
We rely on third-party providers to operate the Service, including hosting and database infrastructure, payment processing, and transactional email delivery. Use of the Service is also subject to the applicable terms of those providers where they interact directly with you (for example, Polar for checkout). We are not responsible for outages or errors originating from third-party providers, though we will use commercially reasonable efforts to maintain service continuity.
11. Confidentiality
Each party may access non-public information of the other in connection with the Service ("Confidential Information"), including Customer Content and, for Arch Grid, non-public product and business information. Each party agrees to protect the other's Confidential Information with reasonable care and to use it only as necessary to perform under these Terms, not disclosing it to third parties except as needed to provide the Service (including approved subprocessors) or as required by law.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA LOSS WILL NOT OCCUR. AS A GROWING SERVICE OPERATED BY A SMALL TEAM, WE CANNOT GUARANTEE ANY SPECIFIC UPTIME OR RESPONSE TIME UNLESS SEPARATELY AGREED IN WRITING.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ARCH GRID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ARCH GRID'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO ARCH GRID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID ANY FEES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold Arch Grid harmless from third-party claims arising out of: (a) Customer Content you upload; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of a third party's rights. Arch Grid agrees to indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights, subject to our right to control the defense and, at our option, modify the Service or refund fees paid for the affected period.
15. Suspension & Termination
We may suspend or terminate your access to the Service if you materially breach these Terms (including the Acceptable Use Policy), fail to pay applicable fees, or if we reasonably believe continued access poses a security or legal risk. You may stop using the Service and close your account at any time. Upon termination, your right to access the Service ends, though certain provisions of these Terms (including Sections 9, 11, 12, 13, 14, and 17) survive termination.
On request made within 30 days of termination, we will make reasonable efforts to provide you an export of your Customer Content in a standard format. After that period, we may delete Customer Content associated with a terminated Organization.
16. Changes to the Service or These Terms
We may modify these Terms from time to time. If we make material changes, we will provide notice (for example, by email or an in-product notice) before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in North Carolina, and you consent to personal jurisdiction there, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
18. General
These Terms, together with the Acceptable Use Policy and any Data Processing Addendum entered into by the parties, constitute the entire agreement between you and Arch Grid regarding the Service and supersede any prior agreements on the subject. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
